Terms of Service

These Terms of Service (“Terms”) govern your use of Seel (“Seel,” “we,” “us”), an interactive line-sheet platform operated for clothing brands and their wholesale buyers. By creating an account or otherwise using the service, you agree to these Terms. If you do not agree, do not use the service.

1. Eligibility and accounts

You must be at least 18 years old and able to enter into a binding contract to use Seel. By creating a brand account, you represent that you have authority to bind the brand you sign up for to these Terms. You are responsible for keeping your credentials confidential and for any activity under your account.

You agree to provide accurate information when registering and to keep it up to date.

2. Description of the service

Seel lets brands build interactive line sheets, share them with wholesale buyers via private magic-link invites, see how buyers engage with the catalog, and receive structured order requests. Specific features are gated by plan tier and may change over time as described below.

3. Subscriptions, billing, and refunds

Paid plans are billed monthly through Stripe. By subscribing, you authorize us (through Stripe) to charge your payment method on a recurring basis until you cancel. Subscription fees are non-refundable except where required by law. If you cancel, your plan remains active until the end of the current billing period and is not renewed.

You can manage payment method, change plans, view invoices, and cancel from Dashboard → Account via the Stripe Customer Portal.

4. Changes to plans, prices, and features

We may change the features included in any plan, the price of any plan, or the structure of our pricing at any time, in our sole discretion. For paying customers, we will use reasonable efforts to provide advance notice of material price changes (for example by email or in-app notice) before the change takes effect for your subscription. Continued use of the service after a price or feature change takes effect constitutes acceptance of the change. If you do not agree, your remedy is to cancel your subscription.

Free-tier features are provided without warranty and may be modified, restricted, or discontinued at any time without notice.

5. Your content

You retain ownership of the content you upload to Seel (your catalog, product photos, descriptions, prices, buyer information, and order requests — collectively, “Your Content”). You grant Seel a worldwide, non-exclusive, royalty-free license to host, store, reproduce, transmit, display, and create necessary derivative works of Your Content solely for the purpose of operating, providing, and improving the service for you and the buyers you authorize.

You represent and warrant that you have all rights necessary to upload Your Content and to grant the license above, that Your Content does not infringe any third party’s rights, and that its use in the service complies with all applicable laws.

We may use de-identified, aggregated data derived from usage of the service (for example, aggregate engagement metrics) to operate, analyze, and improve the service.

6. Buyer access and orders

When you invite a buyer, you authorize Seel to send them a magic-link email and to display Your Content to them through the service. You are responsible for the buyers you invite, for any consents required from them under applicable law, and for the accuracy of the catalog, prices, and stock you publish.

Order requests submitted by buyers through Seel are not contracts of sale between Seel and the buyer. They are requests transmitted to the brand for the brand’s acceptance, fulfillment, and collection in accordance with the brand’s separate agreement with that buyer. Seel does not take title to inventory, fulfill orders, or collect payment for orders.

7. Acceptable use

You agree not to:

  • Upload content that is illegal, infringing, defamatory, obscene, or that you do not have rights to;
  • Use the service to send spam, malware, or unsolicited communications;
  • Attempt to access another brand’s data, reverse-engineer the service, probe its security, or interfere with its operation;
  • Resell, sublicense, or expose the service to third parties as your own product;
  • Use the service in violation of any applicable law.

8. Suspension and termination

We may suspend or terminate your account, or disable any feature, at any time and for any reason, including but not limited to: violation of these Terms, suspected fraud or abuse, non-payment, a legal request, or to protect the security or integrity of the service. Where reasonable, we will give notice; in cases of breach, fraud, or risk to the service, we may act immediately.

You may cancel your subscription or delete your account at any time from the Account page. On account deletion, your access to the service ends and your data is removed in accordance with the Privacy Policy.

Sections that by their nature should survive termination — including ownership, license grants, disclaimers, limitation of liability, and indemnification — will survive.

9. Disclaimers

The service is provided “as is” and “as available” without warranties of any kind, whether express, implied, statutory, or otherwise, including any warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

We do not warrant that the service will be uninterrupted, error-free, secure, or that any data will be preserved without loss. You are responsible for maintaining your own backups of any content you consider business-critical.

10. Limitation of liability

To the fullest extent permitted by law, Seel will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or any loss of profits, revenues, data, goodwill, or other intangible losses, arising out of or relating to your use of the service, even if we have been advised of the possibility of such damages.

Seel’s total cumulative liability for any claim arising out of or relating to the service or these Terms will not exceed the greater of (a) the amount you paid us for the service in the twelve (12) months preceding the event giving rise to the claim or (b) one hundred US dollars ($100).

11. Indemnification

You will indemnify, defend, and hold harmless Seel and its officers, directors, employees, and agents from and against any claims, damages, liabilities, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) Your Content, (b) your use of the service, (c) your violation of these Terms, or (d) your violation of any rights of a third party.

12. Governing law and disputes

These Terms are governed by the laws of the jurisdiction in which Seel is headquartered, without regard to its conflict-of-laws rules. Any dispute arising out of or relating to these Terms or the service will be brought exclusively in the state or federal courts located in that jurisdiction, and you consent to the personal jurisdiction of those courts.

13. Changes to these terms

We may update these Terms from time to time. When we make a material change, we will update the “Last updated” date above and, where appropriate, notify you in-app or by email. Continued use of the service after a change takes effect constitutes acceptance of the updated Terms.
